A Will is a written document which sets out how a person wants their assets (estate) distributed after death. It is always advisable for a person to have a Will so as to ensure that your assets are distributed to your loved ones in the way that YOU want.

Probate
Where there is a Will and you are the nominated executor or executrix under that Will we can assist you with the documentation necessary to apply to the Supreme Court of NSW for the grant of probate. Once the court is satisfied that the Will is valid and grants you probate we can then assist you with the transferring of assets to your name as the executor/executrix and the disposal of those assets to the beneficiaries named in that Will.Letters of Administration
When a person dies leaving no Will then there is a situation where a person who expects to be a beneficiary under the deceased estate can apply to the Supreme Court of NSW for what is known as “Letters of Administration”. There is specific legislation in place which clearly details how an estate is to be distributed of a deceased person where there is no Will. Any person who expects to be a beneficiary can apply to the Supreme Court of NSW to be granted Letters of Administration and we can assist you in applying for such a grant. Once the grant is made by the Supreme Court of NSW we can then assist you in administering the deceased’s estate in accordance with the Wills Probate & Administration Act 1898. -

An Enduring Power of Attorney enables you to nominate a person to make decisions about your assets and financial affairs on a lasting basis. Unlike a standard Power of Attorney, an Enduring Power of Attorney can remain legally enforced even if you become of unsound mind or otherwise legally incapacitated. At Cassab & Associates Solicitors we can assist you in the drafting and registration of an Enduring Power of Attorney under the Powers of Attorney Act 2003.
At the time of preparing your Power of Attorney instructions will be sought from you as to whether you wish the Power of Attorney to be an enduring Power of Attorney and the document will be drafted accordingly.

Whilst a Power of Attorney document deals with financial matters, the appointment of an enduring guardian is a legal document whereby you grant the right to another person to make decisions on your behalf in regards to your health, lifestyle and living arrangements. This usually comes into effect when you have lost the ability to make decisions for yourself.
The appointment of an enduring guardian may prove critical at times when you have lost the mental ability to make decisions for yourself and your appointed guardian can be asked to make decisions necessary to carry out your wishes in regards to medical treatment options.

A Shareholders Agreement is different to the constitution of the company. Shareholders Agreements protect you as a shareholder. Unless the company is listed on the Australian Stock Exchange, you should always have a Shareholders Agreement to protect the relationship between yourself and other shareholders. A Shareholders Agreement governs the relationship between respective shareholders in a given company. It covers matters such as initial funding, an appointment of directors, relations between shareholders and the disposal of shares. It can also cover things such as the rights on winding up of a company, the allotment, transfer and encumbrance of shares, matters requiring directors’ approval, guarantees and indemnities, further financing and various other matters.
It is imperative that if you are entering into a business transaction or relationship which involves a company structure that you consider having a Shareholders Agreement if there is more than one shareholder in the company.
